Terms of Service

1. Acceptance of Terms

By subscribing to Local Boost Lab services and completing the onboarding process, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Local Boost Lab ("LBL," "Local Boost Lab," "we," "us," or "our").

If you do not agree to these Terms, do not subscribe to, access, or use the Service. By completing the checkout process, you represent that you have read, understood, and agree to these Terms.

You must be at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or the business you represent.

2. Service Description

Local Boost Lab provides automated Google Business Profile ("GBP") management services for US-based local service businesses. The Service includes:

• Review response generation: AI-generated responses to positive customer reviews, published to your GBP according to your plan.
• Review alerting: Automated alerts and draft responses for reviews rated 3 stars or below, requiring your approval before publication.
• Content post publishing: SEO-optimized posts published to your GBP on a scheduled basis (Presence and Complete plans).
• AI-generated imagery: AI-created images for use in GBP posts when client photos are unavailable (Presence and Complete plans).
• Monthly performance reporting: Delivered by email on the 5th of each calendar month.
• Profile health monitoring: Suspension risk monitoring and alerts (Complete plan only).

Services are delivered on a subscription basis. LBL is an independent service provider and is not affiliated with, endorsed by, or a partner of Google LLC. Use of Google Business Profile is subject to Google's own terms of service.

3. Subscription Plans and Billing

3.2 Billing Terms

• All billing is processed through Stripe. By providing payment information, you authorize LBL to charge your payment method on a recurring basis.
• Subscriptions renew automatically unless cancelled in accordance with Section 7.
• Annual subscriptions are billed in full at the beginning of each annual term.
• No refunds are issued for partial billing periods, except at LBL's sole discretion.
• LBL reserves the right to change prices with 30 days' advance notice by email to your registered address. Continued use after the price change effective date constitutes acceptance.
• Failed payment charges may result in service suspension after 5 business days.

4. Client Responsibilities

To use the Service, you must and agree to:

• Own or be legally authorized to manage the Google Business Profile you submit to LBL
• Provide accurate, complete, and current business information during onboarding and update it promptly if it changes
• Maintain a valid Google account with access to your GBP
• Grant and maintain LBL Manager access (not Owner access) to your GBP for the duration of your subscription
• Comply with Google's Terms of Service and all applicable GBP policies at all times
• Respond to review alerts requiring your approval in a timely manner
• Not use LBL services for businesses in categories prohibited by Google's GBP policies, including but not limited to: locksmiths, bail bond companies, moving companies, or any business with a prior GBP suspension history without disclosure to LBL

4.1 Account Security

You are responsible for maintaining the security of your Google account and any access credentials you share with LBL. You must notify LBL immediately at grow@localboostlab.com if you become aware of unauthorized access to your account or GBP.

SLAs assume your GBP remains connected and accessible. Failure to maintain LBL Manager access may result in delayed or suspended service delivery without refund.

6. No Guarantee of Results

LBL does not guarantee specific Google search ranking positions, a specific number of new leads or customers, a minimum rating score, or any particular business outcome or revenue result from use of the Service.

Google's search algorithm, GBP ranking factors, and local pack display logic are controlled entirely and exclusively by Google LLC. LBL provides professional GBP management that follows Google's published best practices, but LBL cannot control, predict, or guarantee how Google will rank or display your profile.

Any estimates or projections provided by LBL (in marketing materials, demo reports, or otherwise) are based on aggregate historical data and are illustrative only. Past performance of other managed profiles does not guarantee similar results for your profile.

7. Cancellation and Refunds

7.1 Cancellation by Client

You may cancel your subscription at any time by emailing grow@localboostlab.com with your cancellation request. LBL will process your cancellation within 24 hours of receipt of the request and will send a confirmation email.

Cancellation takes effect at the end of your current billing period. Your access to LBL services will continue through the end of the period you have already paid for. LBL will remove access to your GBP immediately upon cancellation confirmation.

There are no cancellation fees. No questions will be asked.

7.2 Refund Policy

LBL does not issue prorated refunds for partial billing periods. Exceptions may be granted at LBL's sole discretion in cases of documented service failure. To request a refund consideration, email grow@localboostlab.com within 7 days of the billing date in question.

7.3 Cancellation by LBL

LBL reserves the right to terminate your subscription immediately, without refund, in the event of: material breach of these Terms, violation of Google's policies causing harm to LBL's API access, or use of the Service for fraudulent or deceptive purposes.

8. Google Business Profile Access

By using the Service, you grant LBL limited authorization to access and manage your Google Business Profile for the sole purpose of delivering LBL services. This authorization:

• Is limited to Manager-level access: LBL will never request, accept, or require Owner-level GBP access
• Authorizes LBL to: publish posts, respond to reviews on your behalf (subject to your approval for negative reviews), access GBP Insights data, and manage profile content within the scope of the Service
• Does not authorize LBL to: change your primary business category, change your business name, change your business address or phone number, or make any changes outside the scope of the Service, without your explicit written authorization
• Is revocable by you at any time by removing LBL's Manager access from your GBP settings or by emailing LBL to request access removal

Revoking LBL access without cancelling your subscription does not entitle you to a refund and may result in service suspension.

9. Prohibited Uses

You agree not to use the Service to:

• Generate, solicit, incentivize, or post fake, fraudulent, or misleading reviews on your GBP
• Post content that violates Google's review or content policies, including spam, hate speech, or illegal content
• Manage GBP profiles for businesses in categories prohibited by Google's policies (locksmiths, bail bonds, moving companies, adult entertainment, firearms dealers, and others as specified in Google's current policies)
• Circumvent or attempt to circumvent any Google policy or system
• Engage in any activity that puts a client's GBP at suspension risk, including keyword stuffing, geo-tagging manipulation, or policy-violating content
• Use LBL's systems to access or manage GBP profiles for which you do not have authorization
• Reverse engineer, copy, or repurpose LBL's AI prompts, content systems, or infrastructure

Violation of this section may result in immediate termination without refund and may expose you to legal liability.

10. Intellectual Property

10.1 Client Content

All AI-generated content (posts, review responses, images) produced by LBL and published to your GBP profile is owned by you (the Client) upon publication. LBL retains no ownership rights to client-specific content after delivery.

10.2 LBL Property

The Local Boost Lab brand, platform, website, software systems, AI prompts, workflow designs, and all associated intellectual property remain the exclusive property of Local Boost Lab. Nothing in these Terms grants you any license to use LBL's proprietary systems, brand, or content beyond what is necessary to receive the Service.

10.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant LBL an irrevocable, perpetual, royalty-free license to use such feedback for any purpose, without compensation to you.

11. Data and Privacy

Your use of the Service is also governed by LBL's Privacy Policy, located at localboostlab.com/privacy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to the Privacy Policy.

You represent that you have the right to provide all data submitted to LBL during onboarding and that such submission does not violate any third-party rights or applicable laws.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

LBL's total aggregate liability to you for any claim arising from or related to the Service or these Terms is limited to the total fees paid by you to LBL in the three (3) calendar months immediately preceding the date on which the claim arose.

LBL SHALL NOT BE LIABLE FOR ANY:

• Changes to Google's algorithm, GBP policies, or search ranking systems
• GBP profile suspensions caused by Client actions, Google policy violations, or factors outside LBL's control
• Loss of business revenue, leads, customers, or profits
• Indirect, incidental, special, consequential, or punitive damages
• Service interruptions caused by Google API outages, third-party infrastructure failures, or force majeure events

The limitations in this section apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if LBL has been advised of the possibility of such damages.

13. Indemnification

You agree to defend, indemnify, and hold harmless LBL, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your breach of these Terms
• Your unauthorized access to or management of a Google Business Profile
• Your violation of Google's Terms of Service or GBP policies
• Any content you provide to LBL that infringes third-party rights or violates applicable law
• Any claim by a third party arising from your use of the Service

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

YOU AND LBL EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR COLLECTIVE PROCEEDING.

15. Changes to Terms

LBL may update these Terms from time to time. We will notify you of material changes by email to your registered address at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms.

For non-material changes (corrections, clarifications), we may update the Terms without prior notice. The "Effective Date" at the top of this page will reflect the date of the most recent revision.
